IFC is hiring a legal advisor to support the structuring of a water and sanitation PPP in southeastern Brazil. The consultant will provide legal expertise throughout the transaction process, ensuring alignment with Brazil’s regulatory framework and international best practices.

The scope includes:

• Conducting legal due diligence on the current institutional and contractual landscape across approximately 200 municipalities;
• Supporting the drafting and review of key transaction documents, including the concession agreement, bidding documents, and annexes;
• Advising on risk allocation, regulatory compliance, and enforceability of contractual provisions;
• Ensuring that the legal structure supports the project’s objectives of universal service coverage, affordability, and private sector participation;
• Assisting IFC and government counterparts during public consultations, market sounding, and the bidding process, including responses to legal queries from potential investors.
